TERMS & CONDITIONS

By signing up as an Affiliate of Language Like a Pro (“the Company”), you agree to the following legally binding Terms & Conditions. If you do not agree, do not register or participate in the Affiliate Program.

1. Overview of the Affiliate Program

Upon approval, you will receive a unique affiliate tracking link. You may use this link to promote the Company’s products and earn commissions as outlined in these Terms.

You participate as an independent contractor, not as an employee or representative of the Company.

2. Commission Structure

2.1 Tier 1 (Direct Referrals)

You earn 40% commission on valid purchases made through your affiliate link.

2.2 Tier 2 (Sub-Affiliate Referrals)

If you refer other affiliates (“Sub-Affiliates”), you earn 20% commission on sales generated through their links.

3. Eligibility for Commissions

Commissions accrue only on:

• valid, confirmed transactions

• non-refunded purchases

• non-disputed charges

• customers in good standing

If a purchase is refunded, canceled, or charged back, the commission will not be paid.

If a reversal occurs after commission crediting, the Company will deduct the amount from future payouts.

4. Payout Terms

4.1 Net-7 Monthly Payout Schedule

Commissions earned in one calendar month are paid on the 7th of the following month.

Example: September commissions → paid October 7.

4.2 Minimum Payout Threshold

You must accumulate $50 USD in approved commissions to receive a payout.

Unpaid balances roll over.

4.3 Payment Information

Affiliates must provide accurate payout details.

The Company is not responsible for delays or failed payments due to incorrect information.

5. Tracking & Attribution

5.1 Cookie Duration

Sales are tracked using a 30-day cookie window.

5.2 Last-Click Attribution

If multiple affiliates promote to the same customer, the most recent valid click receives credit.

5.3 Tracking Limitations

The Company is not responsible for lost tracking due to:

• cleared cookies

• private browsing

• VPNs

• device changes

• ad blockers

• technical failures

The Company’s tracking system is final.

6. Permitted Promotion Methods

Affiliates may promote using:

• organic social media content

• blogs or websites

• email newsletters

• messaging apps (no spam)

• paid ads (with conditions)

• recommendations to friends and family

All promotion must be honest, ethical, and compliant with Section 7.

7. Paid Advertising Policy (Allowed With Restrictions)

Affiliates are permitted to run paid ads only if they comply with all conditions below:

7.1 Ad Conduct Requirements

Ads must:

• be truthful and accurate

• avoid income claims

• not misrepresent the product or results

• follow all ad network policies

7.2 No Impersonation

Affiliates may NOT:

• pretend to be the Company

• pretend to be Eric Dunn

• create “official-looking” pages

• provide customer support as if they were the Company

7.3 No Brand Bidding

Affiliates may NOT bid on:

• “Pronounce Like a Pro”

• “Eric Dunn English”

• Company trademarks

• misspellings or variations

7.4 Use of Company Creative Assets

Affiliates may NOT:

• use the Company’s logos, videos, scripts, or images in paid ads without written permission

• alter or adapt any Company materials for advertising

The Company may request ad previews or revisions at any time.

8. Referrals of Friends & Family

You may refer friends, family, and personal contacts only if:

• the purchase is genuine

• no reimbursement, cashback, or shared commission occurs

• no one buys solely to manipulate commissions

• the affiliate is not creating a “discount loophole”

Self-purchases are strictly prohibited.

Any attempt to use the program to obtain discounted personal access will result in termination and forfeiture of earnings.

9. Prohibited Practices (Strict Enforcement)

Affiliates may NOT engage in:

1. self-referrals or disguised self-purchases

2. fake referrals or purchased leads

3. cookie stuffing or forced clicks

4. spam emails or unsolicited mass messaging

5. coupon sites or unauthorized promo codes

6. misrepresentation or deceptive marketing

7. impersonation of the Company

8. use of AI deepfakes, voice cloning, or visual cloning of the Company or its owner

9. reselling or transferring affiliate accounts

10. illegal, unethical, or harmful behavior

Violations result in immediate termination and forfeiture of unpaid commissions.

10. PERMANENT INTELLECTUAL PROPERTY PROTECTION (Forever Enforceable)

The Company’s content, curriculum, lesson structure, teaching methodology, training frameworks, proprietary examples, scripts, exercises, pedagogy, and course design (collectively “Proprietary Methods”) are protected intellectual property.

Affiliates agree that they:

10.1 Cannot EVER (now or in the future):

• copy, duplicate, or reproduce Company content

• create derivative works or adapted versions

• reverse-engineer or re-teach Company methods

• repurpose course structure or exercises

• replicate teaching frameworks, lesson sequences, or methodology

• use any part of the Proprietary Methods to create competing products

10.2 These restrictions are PERPETUAL

This protection continues forever, even after affiliate termination or expiration of the 1-year non-compete.

10.3 Violations constitute:

• copyright infringement

• breach of contract

• misappropriation of trade secrets

• unfair competition

The Company may pursue legal remedies including damages and injunctive relief.

11. Confidential Information Clause

Affiliates may receive access to confidential or sensitive Company information, including:

• marketing strategies

• funnel structures

• advertising frameworks

• conversion data

• pricing strategies

• content structure

• upcoming product plans

Affiliates agree to:

• keep all such information confidential

• not share, disclose, or publish it

• not use confidential information to compete with the Company

• not use confidential information for personal gain outside the program

This confidentiality obligation is perpetual and survives termination.

12. Non-Compete Clause (1 Year)

Affiliates agree not to:

• develop

• market

• sell

• distribute

language-learning, pronunciation, or accent training courses that are substantially similar to the Company’s products for one (1) year following termination of their affiliate status.

This does not prevent affiliates from creating unrelated educational content.

Important:

This 1-year non-compete does NOT override the permanent intellectual property restrictions.

Affiliates may create their own original products after the 1-year period — but may NEVER use the Company’s Proprietary Methods.

13. Taxes & Reporting

Affiliates are responsible for reporting their income to the appropriate tax authorities.

U.S. affiliates earning $600 or more annually must submit a valid W-9 prior to receiving additional payouts.

14. Termination of Affiliate Status

The Company may terminate any affiliate:

• at any time

• with or without cause

• with or without notice

• at its sole discretion

If termination results from a violation:

• all unpaid commissions are forfeited

• all use of Company materials must stop immediately

15. Modifications to Terms

The Company may modify or update these Terms at any time.

Continued participation constitutes acceptance of the updated Terms.

Affiliates will be notified of material updates via email or dashboard notice.

16. Acceptance of Terms

By registering, you confirm that you:

• have read these Terms

• understand them

• agree to comply fully

• understand that violations may result in termination and legal action.
